is the world's second-largest manufacturer of electronic, electrical
and fiber optic interconnection products and systems, switches
and application tooling. We manufacture more than 100,000 products;
from simple terminals to opto-electrical transceivers. In addition
to our extensive standard line, we work as development partners
with our customers to design-in Molex innovations as integral
features of their systems. |

Molex
employs over 19,000 people in product development centers, manufacturing
facilities and sales offices over six continents. Our people

Molex
operates 54 manufacturing facilities in 20 countries and major
value-added centers in every region of the world. Much of our
recent expansion is to enlarge existing plants to center expertise
and processes in specific sites. Virtually all of our factories
are ISO 9000 certified, and our automotive plants are leading
the way with the QS 9000 standard, which we are implementing
company-wide. We continually update our core molding, stamping,
plating and assembly processes. Many of our plants use computer-integrated
manufacturing and capitalize on the latest innovations -- from
ultra high speed manufacturing processes and dual-level manufacturing
to "lights out" and integrated work cells. |

| Molex's
engineering design groups employ the latest tools, systems and
technology to develop products that anticipate changing customer
demands and industry trends. Our integrated approach to product
development involves both our customers and Molex experts in
R&D, design engineering, sales and marketing, quality and
manufacturing right from the start. Our use of specialized contact
geometries has spurred numerous Molex innovations in connector
design for high-speed applications from active components for
the fiber optic market to higher-speed, higher-density backplane
connectors and cable assemblies for the telecommunications industry. |

We use
our extensive process and materials laboratories to research
new technologies, and our reliability labs to assure product
performance. Computer Aided Engineering software and predictive
engineering tools facilitate rapid prototyping and evaluation
of new concepts. We also use 3D solid models to design our products
and production tools. The result: high quality products developed,
manufactured and delivered in ever-decreasing time to market. |

| We
are at the leading edge of every industry we serve. We
are a significant supplier to the telecom infrastructure
market. Our product developments in this area include
fiber optic links that incorporate both cable and opto-electronic
devices, high-performance/high-density backplane connectors
and shielded modular jacks. Our VHDM connectors are the
solution of choice in the Gigabit switching architecture
being designed today. For the new Gigabit Interface Communication
standard (GBC), we provide both copper and fiber options.
We also manufacture high-performance connectors and cable
assemblies to meet the specific requirements of data processing
applications. |

wireless communication, Molex continues to gain more content
in cellular phones by combining components, PCB and cable
assemblies, flex circuits and industry-leading advances
in membrane switches to provide higher value interconnect
solutions. We serve every major wireless manufacturer
in the world, particularly in Europe, where we are the
number-one supplier of digital cellular phone connectors. |

In the
area of storage, Molex's connectors are used on more than 70
percent of disk drives worldwide and built into 90 percent of
all desktop PCs produced in the Far East region. Molex products
run the gamut from high-density
low-profile, high-speed socketing devices for microprocessors
for notebook computing to high performance backplane interconnection
systems for servers. We also provide connector and cable assemblies
for computer peripheral devices. |
| In the
automotive industry, as a technology and new product resource
for the world's major vehicle manufacturers and Tier 1 suppliers,
Molex provides interconnects for virtually every part of a vehicle,
bumper to bumper. That includes our miniature .064mm connector
system and filtered products, as well as value-added capabilities
such as assembly of small harnesses and printed circuit boards.

| In recent
years, Molex has expanded in a number of ways. Our acquisition
of Cardell Corporation in 1999 broadened our product range,
especially in standard terminal systems. It also gave us a strong
Detroit manufacturing base, with particular capability in insert
molding. |

Origin Modular Interconnects, our joint-venture with modular
flat flex assemblies circuitry leader Sheldahl, Inc., we also
provide modular flat assemblies that save space and weight in
vehicle designs. |
Molex
is both a leading-edge developer and worldwide manufacturer
of structured cabling system technology. Through Molex
Premise Networks,
we provide end-to-end cabling solutions that safeguard
the integrity of our customers' data. We do this through
innovative connectivity systems that transport voice,
data, video and local area network applications. |

machinery, factory automation and process controls to electrical

to the global game industry. In addition, virtually all of the
2.4 million digital camcorders produced in 1999 used Molex connectors
